    2. Our Services

    We provide an AI-powered enquiry intelligence, reporting, and growth platform, along with associated advisory services, including but not limited to:

    • Enquiry Capture & Pipeline Intelligence: Centralised intake, status tracking, and conversion analytics across communication channels.
    • Performance & Service Line Analytics: Fee earner accountability, response-time tracking, and practice area benchmarking.
    • AI-Driven Executive Insights: Automated reporting, risk alerts, and conversational business intelligence tools (including GenAI analysis).
    • Growth & Positioning Strategy: AI-generated marketing plans, authority benchmarking, and commercial advisory services tailored for professional services firms.

    ("Service Agreement").

    3. Engagement and Contract Formation

    A binding contract is formed when both parties have agreed in writing (including by email) to the terms of a Service Agreement, or when you have confirmed acceptance of a proposal issued by us. These Terms apply to all engagements unless expressly varied in writing.

    4. Fees and Payment

    All fees will be set out in the relevant Service Agreement. Unless otherwise agreed:

    • Invoices are payable within 30 days of the invoice date.
    • We reserve the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
    • All fees are quoted exclusive of VAT where applicable. VAT will be charged at the prevailing rate where required by law.

    5. Intellectual Property

    Unless otherwise agreed in writing:

    • All intellectual property rights in materials, strategies, frameworks, and deliverables created by us prior to or independently of any engagement remain our property.
    • Bespoke deliverables created specifically for you under a Service Agreement will transfer to you upon receipt of full payment.
    • You grant us a non-exclusive licence to use your brand materials and information solely to the extent required to deliver the agreed services.

    6. Confidentiality

    Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement and not to disclose such information to any third party without prior written consent, except where required by law. This obligation survives termination of the engagement.

    7. Liability

    To the extent permitted by law:

    • We shall not be liable for any indirect, consequential, or special loss arising from our services.
    • Our total liability to you in connection with any engagement shall not exceed the total fees paid by you under the relevant Service Agreement in the three months preceding the claim.
    • Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be excluded.

    8. Termination

    Either party may terminate an ongoing engagement by giving 30 days' written notice, unless a different notice period is specified in the relevant Service Agreement. We reserve the right to suspend or terminate services immediately if payment is materially overdue or if you are in material breach of these Terms.

    9. Warranties and Representations

    We will perform our services with reasonable skill and care. We do not warrant that our recommendations will achieve any specific commercial outcome, as results depend on factors outside our control. You warrant that any information and materials you provide to us are accurate and that you have the right to use them.

    10. Website Use

    You agree to use our Website only for lawful purposes. You must not use our Website to transmit harmful, offensive, or misleading content. We reserve the right to restrict or suspend access to the Website at any time.

    Our Website may contain links to third-party websites. These are provided for convenience only. We have no control over those sites and accept no responsibility for their content or practices.

    11. Changes to These Terms

    We may update these Terms from time to time. The current version will always be available on our Website. Continued use of our Website or services after any changes constitutes acceptance of the updated Terms.

    12. Governing Law

    These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
